CESSATION

 These Terms of Platform are effective unless and until terminated by either:

  • Us, in our sole discretion, at any time without notice and You will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny You access to the Platform (or any part thereof); or
  • as mutually agreed to between the Elite Lifestyle and the Buyer, in writing.

Upon termination of the Buyer Agreement, the Buyer agrees:

(a) to continue to be bound by such provisions of this Buyer Agreement which survive by their nature,

(b) to immediately stop using the Platform and pay to Elite Lifestyle all outstanding fees/ amounts as informed by Elite Lifestyle,

(c) that Elite Lifestyle reserves the right to delete all of information of the Buyer and related account data stored on Elite Lifestyle’s servers including the Buyer Account,

(d) that Elite Lifestyle shall not be liable to the Buyer or any third party claiming through the Buyer or independently for termination of access to the Platform or related account data including the Buyer Account;

(e) to provide all records, data, documents in its possession to Elite Lifestyle;

(f) to return all assets, materials and destroy software belonging to Elite Lifestyle; and

(g) Elite Lifestyle shall disconnect any and all Platform for the Buyer and Buyer Account.

 

UNIVERSAL CLAUSE

 

These Terms and conditions shall be considered as an electronic record in terms of Information Technology act, 2000 and the rules framed thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Our failure to exercise or enforce any right or provision of these Terms of Platform shall not constitute a waiver of such right or provision. These Terms, Privacy Policy and any other policies or operating rules posted by Us on this Platform and as amended from time to time constitutes the entire agreement and understanding between You and Us and govern Your use of the Platform, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between You and Us (including, but not limited to, any prior versions of the Terms). Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

Elite Lifestyle may modify these terms from time to time. Notification of changes in these terms will be posted on the Website or sent via electronic mail, as Elite Lifestyle may determine in its sole discretion. If a user does not agree to any modifications, such user may terminate its use of the Website. A continued use of the Website following the posting of notice of any changes in these terms, will constitute a binding acceptance by the user of the terms.

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.
